| Membership
The Function of General Membership is to oversee the governance and performance of the organisation.
TI-Z is a Professional Association attracting members of the public who are working in corruption related issues or have the interest in the fight against corruption. TI-Z is therefore not a mass membership organization. Membership to TI-Z is by invitation and institutions, companies, corporations, societies and individuals who are considered to be of good standing and keen promoters of the anti-corruption crusade, integrity in leadership and good governance, are invited to join.
CRITERIA
TIZ is intended to be a Professional Association attracting members of the public who are working in corruption related issues or have the interest in the fight against corruption. TIZ is therefore not a mass membership organization but a professional organization.
Membership to TIZ, therefore, is by invitation and institutions, companies, corporations, societies and individuals who are considered to be of good standing and keen promoters of the anti-corruption crusade, integrity in leadership and good governance, will be invited to join upon recommendation.
In summary, membership to TI will be by invitation after recommendation from at least two long serving members
SELECTION
The selection process will be carried out by the Board of Directors and it shall do so at its sole discretion.
- Recommended members shall be required to fill in application forms declaring support for the objects of the Company and should abide by the Articles of Association.
- Each time recommendations are made they shall be considered at the next Management Committee meeting.
- Every person/organization entered as a member shall be entitled to a Certificate of Membership which shall be issued under the Authority of the Management Committee.
- In order to keep track of its members, once a new member is considered they shall be registered in an office register of Members and this shall be open to inspection.
- Applications that are rejected shall be returned with the prescribed annual subscription and the Management Committee shall not be required to furnish reason for its rejection of an application.
QUALIFICATIONS
Preference shall be given to persons of professional qualification status who possess the ability to contribute to the Organization's goals and objectives. Organisations/Companies who have an interest in promoting integrity and fighting corruption will also be considered.
TYPES OF MEMBERSHIP
Membership shall be at both individual and institutional levels and it is open to those who have common interests in the work of TIZ. The main interest groups are persons/organizations who are involved with the promotion of human rights, integrity and good governance.
MEMBERSHIP FEES
Annual subscriptions payable by members shall be determined by the Board of Directors from time to time.
- Annual subscription shall be calculated from the first of March each year shall only be liable for such portion of the annual subscription which is or such period as the Board of Directors shall determine and the annual subscription shall be payable in advance of the date each year, to the Organization.
- A member joining for a portion of the remaining year equal , prorata to the remaining portion of the year in which such members become members.
- Suggested fees for TIZ membership are categorized as follows;

RESPONSIBILITIES
Notwithstanding that a member ceases to be a member of the Company, they shall continue to be liable for/to ;-
- All Annual Subscription fees or amounts owing by them to the Company which are due and unpaid as at the date that such a member ceases to be a member.
- All debts and liabilities of the Company for which they remain responsible for as per the terms of the Memorandum.
- Conforming to the terms as per Articles/Memorandum and adhering to the principles and values of TIZ.
- Attend all meetings for TIZ
BENEFITS OF MEMBERSHIP
Members of TI shall be entitled to the following benefits :
- They shall receive the various publication materials of TI.
- They will have access to the TI information center which encompasses the global TI network.
- TI will also be able to offer services on Corruption such as awareness raising, development of integrity systems etc, to any of its member organizations on request.
- The members will receive annual and audited reports of TI activities and finances.
TERMINATION OF MEMBERSHIP
The Board of Directors shall also act as the disciplinary committee for TIZ and therefore has the right to apply disciplinary measures on its members in the event that ;-
- A member fails to conform to the Articles or Memorandum of Understanding. This can lead to suspension and ultimately expulsion although the Board of Directors shall not expel a member until at least seven (7) days notice has been given to such member, stating the particulars of when the expulsion id to be discussed between the two parties. A member is also to be furnished with details as to the nature of the alleged misconduct.
- In the event that a member is resigning, they may give the Executive Secretary notice in writing of their resignation provided that such resignation shall not be effective if it would result in the number of members being reduced to less than seven (7).
- A member shall cease to be a member if they are sequestrated, or being a company, have wound up or have been placed under receivership.
- In the sole discretion of the Board of Directors and in the best interest of the Company, a member shall cease to be a member if their subscription remains unpaid for a period of ninety ( 90 ) days after notice is given concerning payment of subscription.
- A member whose membership is terminated or is suspended, shall not have any claim of any nature against the Company or Board of Directors.
- Membership and/or rights, benefits and /or advantages of membership shall not be transferable and shall unless previously terminated, cease and terminate upon death or any other serious calamity.
VOTING RIGHTS
A member of the Company shall be entitled to one vote in regard to all matters laid before a meeting of members.
- At any general meeting a resolution put to the vote of a meeting shall be decided by a show of hands unless poll is demanded by the Chairperson, or at least five (5) members present in person or by proxy or by representation.
- Unless a poll is demanded, a declaration by the Chairperson that a resolution has on a show of hands been carried or carried unanimously, or lost, and an entry to that effect in the minutes of the proceedings of the Company shall be conclusive evidence of such fact.
- If a poll is demanded, it shall be taken in such a manner as the chairperson directs and the result of the poll shall be the resolution of the meeting at which the poll was demanded.
- A member shall not be entitled to vote at a general meeting unless all sums payable in respect of Membership in the Company have been paid.
CONCLUSION
Membership shall be governed by the TIZ Articles of Association and provisions of the Companies Act where the Articles of Association do not adequately cover the issue at hand.
It is therefore mandatory that all members shall conform to the Company's policy that is encompassed around these governing documents. |
